Luxury Gala

This Agreement is  by and between Samiras Network ("Company") and you ("Affiliate"). This Agreement outlines the terms and conditions under which the Affiliate will represent and sell products and services on behalf of Samiras Network for the Luxury Gala Event.

1. Eligibility and Ticket Purchase

1.1 Initial Requirement:
To qualify as an Affiliate, you must first purchase your own ticket for the Luxury Gala Event. This purchase confirms your commitment and is a prerequisite for engaging in any sales activities on behalf of Samiras Network.

1.2 Scope of Sales Authorization:
Upon purchasing your ticket, you are authorized to sell sponsorships, tickets, magazine ads or/and TV ads, and other  services we offer in our website. All sales activities must comply with the terms set forth in this Agreement.

2. Sales and benefit Structure

2.1 Benefit Eligibility:
You are entitled to earn benefits in form of trade-in what we offer in our shop page or financial benefits based on sales of sponsorships, tickets, ads, and other services, as outlined in the Benefit Schedule provided separately by Samiras Network. As a token of our appreciation for your valuable contributions in selling tickets, sponsorship packages, or other services for the Luxury Gala, we offer you a choice of commission or trade-in options. You can either receive a commission on all sales or opt to trade your earnings for equivalent value in services we offer at the Gala. This could include a discounted table purchase, advertising space in our magazine, vendor booth, stage time, or prominent logo placement on our main banner. We believe this flexibility allows you to choose the option that best suits your needs and preferences.

2.2 Corporate Table Sales:
a) Complete Table Requirement: Due to high demand and limited space, affiliates must purchase tables themselves if they need to sell a table of 10 or 12 seats. They can then sell individual seats to their buyers. Similarly, if they anticipate needing more tables, they should purchase them upfront and sell each seat separately over time. This ensures that the space is reserved for their guests, and we can allocate our resources accordingly to provide excellent service on the day of the event.

To have your name ( or corporate name) featured on a table, you must sell an entire table (either 10 or 12 seats).

b) Sales Process:
i) You may choose to purchase the table upfront and provide Samiras Network with the names, email addresses, and cell phone numbers of all attendees for e-ticket issuance and automated reminders.

ii) Alternatively, you can sell individual tickets using your unique affiliate link provided by Eventbrite or our website.

2.3 Sponsorship and Ad Sales:
a) You are authorized to sell sponsorship packages, magazine ads, TV ads, and other services only after completing your own personal ticket purchase.

b) All sales must be processed through official Samiras Network channels to ensure accuracy and proper documentation.

3. Marketing and Promotional Activities

3.1 Brand Use Authorization:
a) You may use Samiras Network's name, logo, and branded materials only with explicit written consent. Unauthorized use or modification of these materials is strictly prohibited.

b) All marketing materials and promotional content must be approved by Samiras Network before distribution.

3.2 Advertising Standards:
a) Affiliates are expected to uphold the integrity and reputation of Samiras Network in all communications and advertising efforts.
b) False or misleading claims, unapproved offers, and guarantees not authorized by Samiras Network are strictly forbidden.

3.3 Social Media and Digital Marketing:
a) Any social media posts or digital campaigns must align with the Company’s branding guidelines and require prior approval.
b) Use of personal social media accounts to promote the event must clearly distinguish between personal opinions and the official stance of Samiras Network.

4. Legal Compliance and Document Issuance

4.1 Issuance of Legal Documents:
a) Only Samiras Network is authorized to issue receipts, invoices, estimates, or other legal documents. Affiliates are prohibited from creating or modifying any documents on behalf of the Company.
b) Affiliates must direct clients to Samiras Network for any official documentation requests.

4.2 Compliance with Laws:
a) Affiliates must adhere to all applicable local, state, and federal laws in their sales and promotional activities.
b) Any illegal or unethical behavior, including but not limited to fraud, misrepresentation, or unauthorized use of intellectual property, will result in immediate termination of this Agreement and possible legal action.

5. Confidentiality

5.1 Non-Disclosure Obligation:
Affiliates agree to maintain the confidentiality of all sensitive information, including but not limited to attendee lists, sponsorship details, pricing, and Company policies. This information must not be shared with any third parties without prior written consent from Samiras Network.

6. Dispute Resolution

6.1 Negotiation and Mediation:
a) Any disputes arising from this Agreement should first be resolved through good-faith negotiation between the parties.
b) If negotiation fails, the parties agree to submit the dispute to mediation or arbitration before pursuing legal action.

7. Termination and Renewal

7.1 Termination:
a) Samiras Network reserves the right to terminate this Agreement at any time for breach of terms, unethical conduct, or non-performance.
b) Upon termination, the Affiliate must cease all promotional activities and return any materials provided by the Company.

7.2 Annual Renewal:
a) This Agreement is valid for the 3/2/2025 Luxury Gala Event and must be renewed annually for continued participation.
b) Renewal is contingent upon the Affiliate's compliance with all terms and the satisfactory performance of their duties.

8. Governing Law

8.1 Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of California. Any disputes shall be resolved in the courts of California.

9. Entire Agreement

9.1 Merger Clause:
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral.
